Terms and conditions of purchase orders
1. External Provider warranty
The external provider warrants that:
- Product is provided to a satisfactory quality, fit for purpose, free from any defects in design, material and workmanship and will correspond to any specification or example.
- All services are provided with due care and diligence, using appropriately competent and qualified personnel for supply of goods/services.
2. Liability for defects
- If after acceptance of the goods or on completion of the service, there are defects in anyway the external provider shall at its own expense take suitable prompt corrective actions.
- WQE Ltd shall within a suitable time frame after any defect is discovered notify the external provider by issue of a non-conformance report which will containing a description of the defect.
- Should the external provider fail to remedy the defect, WQE Ltd may undertake the correcting action itself or engage a third party to do so on its behalf. Any such actions undertaken by WQE Ltd or third party shall not affect the external providers liability under the contract and shall be undertaken at the external providers cost.
3. Quality
- Where the external provider operates a third party Approved quality management system (QMS) this order shall be carried out in accordance with the scope of the external providers current registration (e.g. ISO9001, AS9100), on request evidence of certification certificate and scope of approval will be supplied to WQE Ltd.
- The external provider shall establish and maintain a QMS that covers all aspect of the external provider in connection with the order.
- The external provider shall provide evidence of their QMS by submission of a current UKAS certificate.
- When stated on the purchase order, external providers shall comply with WQE Ltd’s, customers approved special process sources.
- WQE Ltd is to be contacted (by the external provider) in the event of non-conforming product, material or service.
- Furthermore, WQE Ltd must be notified of changes in product, process or service that were not requested by WQE Ltd.
- The external provider shall provide right of access to WQE Ltd or its representative to the applicable areas at any level of the supply chain involved in the order to audit or inspect product processes and to all applicable records.
- The external provider shall not sub-contract any product or process to sub-tier external provider without written consent of WQE Ltd.
- Where required by the purchase order the external provider shall provide applicable certification.
- Verification by WQE Ltd shall not be used by the external provider as evidence of effective control of quality and shall not absolve them of the responsibility to provide acceptable product or service, nor shall it preclude subsequent rejection by WQE Ltd.
- The external provider shall ensure that traceability is maintained of product and material through the supply chain.
- No deviation from the requirements stated on the purchase order shall be accepted without prior written consent from WQE Ltd.
- The external provider shall flow down the supply chain applicable requirements including customer requirements where stated on the purchase order.
- The external provider shall contribute to product quality by ensuring compliance with the requirements of WQE Ltd.’s. Purchase Order including the provision of any required certification and on-time delivery and shall ensure product conformity is maintained up to its receipt.
4. Advice notes & release certificates (certificates of conformance / compliance).
The external provider shall supply certification that goods and services delivered under this order have been tested and inspected and conform to all drawing and /or order requirements. The external provider must have objective evidence on file to substantiate the certificate of conformance and such evidence must be available to WQE Ltd for review. As a minimum Certificates of Conformity must contain the following information where applicable:
- WQE Ltd’s part number, drawing number, revision and description, Qty of goods supplied, the process performed and relevant specifications and current issues/revision.
5. Material traceability
Material supplied against this order require full traceability of parts/materials from the time of receipt through the delivery of the finished article. Raw material traceability is required to the physical and chemical analysis. If the external provider is not the original manufacturer of the goods or services, the external provider shall also provide copies of the original manufactures certificate of conformity / compliance together with test results etc., where applicable.
6. Control of Foreign Object Damage (FOD)
The external provider shall have in place good working practices on the prevention of damage by foreign Objects (FOD) which the external provider shall provide on request.
7. Measurement Traceability and Control of Monitoring and Measurement Equipment
When measurement traceability is a requirement, or is considered by the external provider to be an essential part of providing confidence in the validity of measurement results, measuring equipment shall be:
a) calibrated or verified, or both, at specified intervals, or prior to use, against measurement standards traceable to international or national measurement standards; when no such standards exist, the basis used for calibration or verification shall be retained as documented information;
b) identified to determine their status;
c) safeguarded from adjustments, damage or deterioration that would invalidate the calibration status and subsequent measurement results.
The external provider shall determine if the validity of previous measurement results has been adversely affected when measuring equipment is found to be unfit for its intended purpose and shall take appropriate action as necessary.
8. Environment Control
It is a condition of contract for this order that the external provider will meet their regulatory approvals regarding environmental compliance. Non-compliance with these regulations may be considered a breach of this condition and therefore breach of contract.
9. Counterfeit
The seller represents that only new and authentic materials are used in products required to be delivered to WQE Ltd. In addition, that the materials or components delivered contains no counterfeit parts or materials. No other part or component other than a new and authentic component or material is to be used unless specifically approved in advance in writing by WQE Ltd.
10. Control of Documented Information
The external provider shall generate and maintain documented information for all inspections and tests performed. The information gathered shall be appropriate to the inspection and test operation performed and in sufficient detail to provide for complete verification and evaluation of operation. On request the documented information will be supplied to WQE Ltd and not destroyed without prior permission of WQE Ltd.
Documented information may include but not limited to product release certification and records of test or inspection for traceability purposes.
The external provider shall retain documented information for a minimum of 30 years unless otherwise stated by WQE Ltd. This time period shall be valid from the date of completion of the documented information.
Documented information shall be retained in such a manner to ensure they are readily retrievable to the WQE Ltd’s order and adequately protected e.g. from loss of confidentiality, improper use, or loss of integrity and available and suitable for use, where and when it is needed.
11. Contribution to Product Safety
The external provider shall provide awareness of product safety during its lifecycle to employees or those working under your control. Product safety is defined as the state in which a product can perform to its delegated or intended purpose without causing unacceptable risk of harm to persons or damage to property.
12. Importance of Ethical Behaviour
It is a requirement of WQE Ltd that its external providers adopt a culture that values and supports ethical behaviour, characterised by honesty, fairness and equity in interpersonal and professional relationships. The external provider shall provide as environment for employees, visitors and other people associated with the company that is ethical in its dealings and where people can contribute, develop and be involved in a manner that embodies dignity, integrity and respect.
